TERMS OF USE (“T&C”)
Eureka Campaign Associates Pte Ltd (“Eureka!”) owns and operates WWW.TEAMBUILDIT.COM (the “WEBSITE”) and the TEAMBUILDIT APPLICATION (the "APP"), collectively known as “EUREKA! SITES”. By using, accessing and/or visiting the website or app, you accept and agree to these T&C as well as our Privacy Policy set forth herein.
1. MODIFICATIONS
We reserve the right to make changes at any time to the EUREKA! SITES, these T&C, our policies, and any other terms applicable to a service, registration, sign up, opt-in, or download without prior notice. Please consult these T&C and policies regularly for any changes. You may determine if any such revision has taken place by referring to the date on which this notice was last updated. Your continued use of the EUREKA! SITES constitutes your acknowledgement and acceptance of such changes.
2. ACCESS TO AND USE OF THE WEBSITE AND APP.
Subject to these T&C, EUREKA! grants you limited access and use of the EUREKA! SITES for your personal, non-commercial use. Consequently, without our written consent, you may not download or modify the WEBSITE or the APP, or reproduce, distribute, duplicate, copy, display, sell, mirror, or otherwise exploit the WEBSITE or the APP or any portion thereof. If you are under age 13, you may use the EUREKA! SITES, only under the supervision of a parent or guardian.
3. INTELLECTUAL PROPERTY / COPYRIGHT
All content included on the EUREKA! SITES, such as text, graphics, logos, button icons, images, and software, and the compilation thereof are, unless otherwise stated, the property of EUREKA! and/or its licensors is protected by international copyright laws and other relevant laws and regulations.
4. COMMENTS; PROHIBITED CONDUCT; NO OBLIGATION FOR EUREKA! TO MONITOR
4.1 Eureka! may give visitors to the EUREKA! SITES, the option of posting content or comments or photos or in the likes of the equivalent. By posting, you grant EUREKA! a non-exclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media in its sole discretion.
4.2 You represent and warrant that you own or otherwise control all of the rights to, and/or have a right to post, the content that you submit and/or post; that the content is accurate; that use of the content you supply does not violate these T&Cs and will not cause injury or damage to any person or entity; and that you will indemnify EUREKA! for all claims resulting from content you supply. The content you post may not be illegal, obscene, offensive, racist, sexist, hateful, threatening, defamatory, libelous, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable to EUREKA! in its sole discretion, and shall not consist of or contain software viruses, political campaigning, commercial solicitation, advertisements, chain letters, mass mailings, or any form of “spam.”
4.3 EUREKA! takes no responsibility and assumes no liability for any content posted by you or any third party. EUREKA! may monitor, review or edit such content you or others post or submit, but is not obligated to do so.
4.4 When you visit a EUREKA! Site or send e-mails to us, you are communicating with us electronically and therefore consent to receive communications from us electronically. We may communicate with you by e-mail or by posting notices on our sites. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
5. DISCLAIMER OF WARRANTIES
Your participation and use of the EUREKA sites and all contents thereon is and shall be at your sole risk and free will. The EUREKA! sites and all contents thereon are provided “as is’ and without expressed or implied warranty of any kind. To the maximum extent permitted by law, EUREKA! and their respective directors, employees and agents disclaim all warranties, expressed or implied, with respect to your participation of our activities on EUREKA sites, all contents thereon, and support services including but not limited to all implied warranties of merchantability, fitness for a particular purpose, non-infringement and titles.
You will not hold EUREKA!, our directors, employees, appointed officials, and manpower responsible for any damage to or loss of property or any injury or loss of life of any kind incurred or suffered as a result of your participation of any games, activities, made available via the EUREKA! sites or in connection with any organised activities.
EUREKA! makes no warranty as to the accuracy or completeness of the contents of the EUREKA! sites and does not endorse or assume responsibility for any activity, product or service advertised by us or any third party through hyperlinked websites. EUREKA! assumes no liability or responsibility for any bugs, viruses, or other malware that may be transmitted to or through the EUREKA! sites for any errors, mistakes or inaccuracies in content or for any loss or damage Incurred that results from the use of any content made available in any way through the EUREKA! sites.
6. LIMITATION OF LIABILITY
In no event shall EUREKA!, their directors, employees or agents be liable for any special, incidental, indirect, consequential or punitive damages whatsoever, including those resulting from loss of use, data or profits, however caused and regardless of the theory of liability, arising out of or in connection with your use of or access to or inability to access or use the EUREKA sites (including the services and support services offered on the EUREKA! sites or downloadable materials), even if EUREKA! has been advised of the possibility of such damages. The foregoing limitations will apply even if any warranty or remedy provided under this Agreement fails of its essential purpose.
7. GOVERNING LAW
By using a EUREKA! Site, you agree that the laws of the Republic of Singapore, without regard to principles of conflict of laws, will govern these T&Cs and any dispute of any sort that might arise between you and EUREKA! from your use of the EUREKA! Sites.
8. INDEMNIFICATION
You agree to indemnify, defend and hold EUREKA!, its affiliates, officers, directors, employees and agents harmless from and against any loss, cost, damages, liability and expense arising out of or relating to your use of the EUREKA! Sites and/or any action by you which violates any law, regulation or rights of a third party.
9. LINKS TO THIRD PARTY WEBSITES
The EUREKA! sites may contain links to third-party websites. You acknowledge and agree that EUREKA! does not control such websites and is not responsible for their contents or policies, and that the links are provided for convenience and do not represent an endorsement by EUREKA! of the third-party websites. If you access such websites via the links, you do so at your own risk.
10. AVAILABILITY & UPDATES
Eureka! may alter, suspend, or discontinue the Website and/or the App at any time and for any reason or no reason, without notice. The Website, Service and/or TeamBuildIt App may be unavailable from time to time due to maintenance or malfunction of computer or network equipment or other reasons. Eureka may periodically add or update the information and materials on the Website and/or TeamBuildIt App without prior notice.
11. SECURITY
Information sent or received over the Internet may not be secure and Eureka cannot and does not make any representation or warranty concerning security of any communication to or from the Website and/or the App or any representation or warranty regarding the interception by third parties of personal or other information. You are responsible for safeguarding the password that you use to access the Service and you are responsible for any activities or actions under your password. You agree to keep your password secure. Eureka will not be liable for any loss or damage arising from your failure to comply with these requirements.
12. TERMINATION
Without prior notice, EUREKA! may terminate your license to access our Sites and/or your user account if you violate or breach the T&C or for any other reason. In the event of termination, provisions on prohibited conduct, electronic communications, disclaimer of warranty, limitation of liability, and miscellaneous provisions shall survive.
